NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

By participating in the Sweepstakes, except where prohibited by law, entrants waive the ability to bring claims in a class action format. 

BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE SWEEPSTAKES, ENTRANTS AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING.  WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE RELEASED PARTY FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

Eligibility:  This Mastercard and SZA Sweepstakes (“Sweepstakes”) is open only to individuals who are: (i)Mastercard cardholders whose account was opened by a Mastercard FI (defined below) prior to 2/4/24, (ii) physically located and permanent legal residents of the fifty (50) United States, including the District of Columbia, or Canada (excluding Quebec) and (iii) who have reached the legal age of majority in their state/province of residence (which is eighteen (18) years of age in most states, but is nineteen (19) in Alabama and Nebraska and certain Canadian provinces and twenty-one (21) in Mississippi) before time/date of entry (an “Eligible Entrant”). Void in Quebec and where prohibited by law. Employees, officers and directors of Mastercard International Incorporated (“Mastercard” or “Sponsor”); Mastercard customer financial institutions, credit unions, alliances, issuers and processors (collectively, “Mastercard FI”); The National Academy of Recording Arts & Sciences, Inc. (“The Recording Academy”); teamDigital Promotions, Inc. (“Administrator”) and each of their respective parent companies, affiliates, distributors, subsidiaries, prize providers, advertising/promotion agencies and the immediate family members (i.e., spouses, parents, grandparents, children, grandchildren and siblings and their respective spouses) and/or those living in the same household (those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not) of any of the foregoing are not eligible to enter or win a prize in this Sweepstakes. Sponsor, Mastercard FI, The Recording Academy, Administrator, and each of their respective parent companies, affiliates, distributors, subsidiaries, prize providers and advertising/promotion agencies are each a “Released Party” and shall hereinafter collectively be referred to as the “Released Parties”. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram. By entering, you understand that you are providing your information to the Sponsor and not Instagram. The information you provide as detailed below will only be used for Sweepstakes purposes.

Promotion Period: Sweepstakes begins when either 1) Mastercard posts on their official U.S. Instagram channel (@mastercard) a collaborative post with SZA (@SZA) about SZA’s performance at the 2024 GRAMMY House presented by Mastercard, or 2) Mastercard posts on their official Canadian Instagram channel (@mastercardca) about SZA’s performance at the 2024 GRAMMY House presented by Mastercard. Sweepstakes starts no earlier than 12:00 AM Eastern Time (“ET”) on 2/4/24, and ends at 11:59 PM ET on 2/10/24 (“Promotion Period”). 

How to Enter: During the Promotion Period, Mastercard will post about SZA’s performance at the 2024 GRAMMY House presented by Mastercard on the official U.S. Mastercard Instagram channel (@mastercard), as well as the official Canada Mastercard Instagram channel (@mastercardca), that indicates there is a chance to win a prize (the “Promotional Post”). In order to receive an entry into the drawing, an Eligible Entrant must post a comment on the Promotional Post with a “seedling” emoji and tag a friend (“Entry”).

To enter the Sweepstakes, during the Promotion Period: 1) Login to your Instagram account. If you do not have an Instagram account you may sign-up for free by downloading the Instagram application from your mobile device’s app store or by visiting www.instagram.com and following the enrollment instructions. Creating an Instagram account is free. By submitting your information as outlined above, Entrants are confirming their acceptance and agreement to these Official Rules. Entrants must agree to the Instagram terms of service and privacy policy.  If you do not agree to Instagram’s Terms of Use and Privacy Policy, you cannot participate in this Sweepstakes; 2) Search for Mastercard from your Instagram home page and click on Mastercard to open the feed; 3) In the Mastercard feed find the applicable Promotional Post; and 4) In the comments section of the post, comment with your Entry. Once you complete the above steps, you will receive one (1) Entry into the drawing. Limit of one (1) Entry per person during the Promotion Period. Entries received in excess of stated limitation will be void. Subsequent attempts made by the same individual to submit multiple Entries by using multiple or false contact information or otherwise may be disqualified. Your Instagram account must be public in order to be eligible. NOTE: Sponsor may not receive entries from Instagram users with “private” account settings (i.e., user has set their Instagram account so that only people the user has approved can view their comment) due to the way Instagram operates its service. By participating, you are acknowledging and agreeing that the Sponsor has the right to stream your Entry through the Instagram API and confirming your acceptance and agreement to these Official Rules.   

Once you complete the above steps, you will receive one (1) Entry into the drawing.  Entries(s) must not include any comment that is obscene, pornographic, libelous or otherwise objectionable. Any Entry that, in Sponsor’s good faith judgment, violates the entry requirements may be disqualified.  If you choose to participate using your mobile phone, standard data fees may apply.  See your wireless provider for pricing plan details.  Other than for prize notification or conditions as previously stated or for promotional emails, neither Sponsor, nor anyone acting on their behalf, will enter into any communications with any entrant regarding this Sweepstakes or acknowledge any Entry not meeting all entry requirements stated herein will be disqualified.  Any entrant posting or submitting content with obscene or other inappropriate material may be disqualified by Sponsor, in their sole and absolute discretion.

The use of script, macro or automated devices (or any other devices intended to automate or subvert any aspect of Entry) to enter the Sweepstakes is prohibited and any Entry made through such means, and any Entry that is deemed to be ineligible (at Sponsor’s sole discretion and in accordance with these Official Rules) will be void. All Entries become the property of the Sponsor and will not be acknowledged or returned. In the event of a dispute as to the identity of an entrant based on the Instagram username submitted, Entry will be awarded to the authorized account holder of the Instagram account from which said Entry was submitted provided such individual is eligible according to these Official Rules. Released Parties are not responsible for late, lost, stolen, incomplete, misdirected, delayed, garbled, damaged, inaccurate or undelivered comments, follow requests, direct messages or Entries, or for telephonic, human or computer failures, problems or errors, interruptions in service due to system upgrades, repairs, modifications or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of direct messages, comments, or Entries, the announcement of a prize, for any injury or damage to entrant’s or any other person’s computer or other device relating to or resulting from participation in this Sweepstakes, or for printing, typographical, human or other errors appearing in these Official Rules or other Sweepstakes-related materials. 

ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING ANY PLATFORM) OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVE THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.   Entries that are in excess of the stated limits, incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules may be disqualified from the Sweepstakes at Sponsor’s sole and absolute discretion.   The use of automated or similar devices, which subvert the entry process, including, but not limited to, Entries submitted using any bot, macro, script, or sweepstakes service (or any other devices intended to automate any aspect of entry) is prohibited and Entries submitted through such devices are void. Administrator’s designated database clock will be the official timekeeper for this Sweepstakes.  Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.  Those who do not follow all of the instructions or abide by these Official Rules or other instructions of Sponsor may be disqualified.

Sweepstakes Entry Rights: Entrants represent and warrant that Sponsor and their designees shall have, without limitation, the perpetual, non-exclusive right and license (with the unlimited right to sublicense), to use, edit, adapt, modify, publish, exploit and use the Entry (and make derivative works) and/or entrant’s  name/username in any way and in any and all media now known or hereinafter discovered or devised, worldwide for any purpose, including trade, advertising, promotional, public relations and/or other purposes as the Sponsor and/or its designees may determine without further permission from, or notification or consideration to entrants or any third parties. Entrants further agree to abide by these Official Rules and the decisions of the Sponsor and judges, which shall be final and binding. Entrants represent and warrant that the materials submitted will not infringe or violate any right whatsoever, including, without limitation, any personal rights (e.g., defamation, privacy, false light, moral right, etc.) or any property rights (e.g., copyright, trademark, right to ideas, etc.) of any person or entity and the use thereof will result in no third party liability or obligations.

Selection of Winners/Odds:  Potential winners will be selected in a random drawing on or about 2/13/24 from among all Entries received by Administrator, an independent judging organization, whose decisions as to the selection of winners will be final and binding in all matters relating to this Sweepstakes. Odds of winning will depend on the total number of Entries received during the Promotion Period. Potential winners will be notified on Instagram via a reply comment and/or direct message.  All notifications will be sent through the @Mastercard or @Mastercardca handle on Instagram and each respective winner must claim their prize within two (2) business days of the date of notification. Potential prize winners are subject to eligibility verification and compliance with these Official Rules. Unclaimed prizes will be forfeited. Limit one (1) prize per person, per household and per Instagram account.  The Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email account to receive email messages.  The Released Parties are not responsible for false, incorrect, changed, incomplete or illegible contact information.

Seventy-five (75) Winners: Each winner will receive a prize package consisting of a vial of seeds derived from SZA’s performance at the 2024 GRAMMY House presented by Mastercard, a planter, dehydrated planting soil, a framed and autographed photo of SZA, and a non-fungible token (“NFT”) from Mastercard’s new Web3 platform located at www.connect.priceless.com (“NFT Site”). Approximate retail value (“ARV”) of each prize package: $30 USD (excluding the NFT which has no intrinsic value). Prize is awarded “as is” without any warranty or guarantee, either express or implied by Sponsor. In order to claim the NFT, winner must register with the NFT Site and already possess or establish a MoonPay wallet which is free to set up, but will require you to provide your email address and otherwise comply with MoonPay’s account registration requirements. Winner is not required to purchase any cryptocurrency or tokens or to otherwise make a purchase in order to receive the NFT. NFTs and similar assets are collectibles and have no inherent or intrinsic value. Winner’s ownership and use of the NFT is governed by the Program Site & NFT Terms for the NFT Site. Winners agree to assume all risk associated with the use and ownership of the NFT. All prize details are at Sponsor’s sole discretion. All costs and expenses associated with the acceptance and use of any prize not specified herein as being awarded, including, but not limited to, all federal, state and local taxes are each winner’s sole responsibility. To the extent the prize has a celebrity autograph, this element of the prize has no retail value and if the celebrity advertised as having autographed the item is unavailable or unwilling to autograph the item, such celebrity signing such item may be replaced by Sponsor, in its sole and absolute discretion. Prizes are non-transferable, with no cash redemptions, equivalents or substitutions except at Sponsor’s sole and absolute discretion.  Prize details and availability are subject to change and prize provider’s rules and restrictions, and in the event that Sponsor is unable to provide the winner with his or her prizes the Sponsor may elect to provide winners with the approximate value of such item in cash or award an alternate prize of comparable or greater value.  Prize winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether they, in whole or in part, are used.  The ARV of the prizes is based on available information provided to Sponsor. Prizes, if legitimately claimed, will be awarded.  The Released Parties are not responsible for and will not replace any lost, mutilated or stolen prize(s) or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address.  If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and the Released Parties will have no further obligation with respect to that prize or portion of the prize.  No more than the stated prize(s) will be awarded.  The Released Parties are not responsible for and winner will not receive the difference, in any, between the actual value of the prizes at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or material. Total ARV of all prizes to be awarded in this Sweepstakes: $2,250 USD.

Privacy:  Any information entrant provides to Sponsor or Administrator may be used to communicate with entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list.  Except where prohibited by law, acceptance of a prize constitutes each winner’s irrevocable consent to Released Parties, each of their respective agents’, successors’ and assigns’ or other designee’s use of winner’s name, likeness, photograph, voice, statement, opinions, Instagram handle, biographical information, prize and/or state/city of residence for advertising and promotional and publicity purposes in any and all media or format, worldwide, in perpetuity, without any permission, notification, payment or consideration, except for the awarding of a prize to a winner. You may be required to sign a document confirming your consent to this effect. Your participation by your entry also constitutes your consent to participate in this Sweepstakes and consent for Released Parties to obtain, use, and share your entry, name, email address and other details (collectively, “Sweeps Data”) for Sweepstakes administration purposes. Miscellaneous: No transfer, assignment, cash redemption or substitution of a prize (or portion thereof) will be permitted, except by Sponsor, in its sole discretion, due to prize unavailability or other causes otherwise determined solely by Sponsor, and then for a prize (or applicable portion) of equal or greater value. Potential winners will be required to claim their prize within two (2) business days of date of issuance of notification. If any potential winner is a Canadian resident, he/she will be required to answer a time-limited skill-testing question without assistance in the time frame requested, in order to be eligible to receive a prize. Non-compliance with any of the foregoing, or with these Official Rules may result in disqualification and awarding of prize to an alternate winner, at Sponsor’s sole discretion and time permitting. If potential prize winner’s Instagram direct message, notification letter or prize is returned as undeliverable, or if a potential winner fails to respond to such Instagram direct message within two (2) business days, potential winner will be disqualified and time permitting, an alternate winner may be selected at Sponsor’s sole discretion.  Should the potential winner decide to decline his/her prize for any reason whatsoever or not respond to the prize notification by the applicable response deadline, Sponsor shall have no further obligation to that potential winner and an alternate winner may be randomly selected from among all remaining eligible Entries. The Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email account to receive email messages. The Released Parties are not responsible for any changes or unavailability of the social media platform used for purposes of administering this Sweepstakes that may interfere with the Sweepstakes (including any limitations, any restrictions, or any conditions on Sponsor’s ability to use the social media platform for the Sweepstakes as set forth herein that are not acceptable to Sponsor) or ability of entrant to timely enter, receive notices or communicate with Sponsor via the social media platform, in which case Sponsor, in its sole discretion, may terminate or modify the Sweepstakes.  By participating, entrants agree to be bound by these Official Rules and agree that Released Parties and their designees and assigns and all of their respective officers, directors, employees, shareholders, representatives, agents, and the franchisees of any of them shall have no liability and entrant will defend, indemnify and hold harmless the Released Parties and Instagram from and against any liability, loss, injury, or damage of any kind (including attorney’s fees) to any person or entity, including, without limitation, personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of: (i) entrant’s participation/entry into the Sweepstakes; (ii) any materials he or she may submit in connection herewith; (iii) the acceptance, possession, use or misuse of a prize or participation in any activities associated with the Sweepstakes or any prize awarded in connection herewith; (iv) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Sweepstakes activity and/or prize. The Released Parties are not responsible for the actions of entrants in connection with the Sweepstakes, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to void any and all Entries of an entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Sweepstakes and to modify, suspend, and/or terminate this Sweepstakes (or portion thereof) should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Sweepstakes and, in the case of termination, at its discretion, select winners via a random drawing from all eligible, non-suspect Entries received prior to the event that required such termination. In the event Sponsor or Administrator is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s and/or Administrator’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or prize. Sponsor and Administrator additionally reserve the right, in their sole and absolute discretion: (a) to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s or Administrator’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes; or (b) to disqualify any entrant found to be, or suspected of: (i) tampering with the entry process or the operation of the Sweepstakes; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner. CAUTION: Any attempt to undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor and the applicable Released Parties reserve the right to seek damages (including attorneys’ fees) and/or other remedies from any such person(s) responsible for the attempt to the fullest extent permitted by law. Released Parties make no warranty, guaranty or representation of any kind concerning any prize (or any portion thereof), and disclaim any implied warranty.  Without limiting the generality of the foregoing, entrants agree that the Released Parties: (a) maintain no control over the personnel, equipment or operation of any manufacturer or other person or entity furnishing services, products or accommodations (“Suppliers”) as a part of the prize provided in connection with the Sweepstakes; and (b) will not be responsible or liable for any injury, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (i) by the wrongful, negligent or unauthorized act or omission on the part of the Suppliers or any of their agents, servants, employees or independent contractors, (ii) by any defect in or failure of any vehicle, equipment, instrumentality, service or product that is owned, operated, furnished or otherwise used by any of those Suppliers, (iii) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (iv) by any cause, condition or event whatsoever beyond the control of the Released Parties.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Except where prohibited by law, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
