PROGRAMS AND OFFERS
The reward program is the MasterCard Surpreenda Program (Program) whereby participants who register themselves and their cards at the website www.naotempreco.com.br and purchase goods or services at any merchant in Brazil with a registered participating card throughout the duration of the Program earn points.
For each purchase transaction made and authorized by the MasterCard system, the Surpreenda Program participant earns 1 (one) point in the Program. These points may be used to redeem vouchers for exclusive offers. MasterCard also hosts other sites with exclusive offers (“Offers”) available to its cardholders, such as the Priceless RJ and Priceless SP sites, which allow users registered in the MasterCard Program access to exclusive offers and experiences, such as to restaurants, shopping, sporting events, culture and entertainment, among others, in the cities of Rio de Janeiro - RJ and Sao Paulo - SP, both in Brazil. To access these exclusive offers and experiences, the participant must be a primary or additional holder of any of the Participating Cards and register as such with their card on the Program site.
The Sponsor may make exclusive offers and benefits available for “MasterCard Black” and “MasterCard Platinum” cardholders.
The offers and benefits may also additionally require MasterCard Surpreenda Program vouchers.
The holder of any of the participating cards, whether primary or additional, an individual or a legal entity, domiciled in Brazil (participant) may participate in the Program and the Offers. Participation by employees and representatives of the Sponsor, including their respective spouses and first- and second-degree family members, as well as the employees and representatives of third-party companies providing services to the Sponsor is subject to restrictions and limitations established by the Sponsor.
Participation in the Program and in the Offers is voluntary and free of charge and implies full unrestricted acceptance of these Rules of Use and Participation.
All participants must observe the conditions, means and terms of participation, with Participants who commit any type of fraud being summarily excluded and furthermore subject to criminal and civil liability.
In the event of card exchange or replacement, the new card must also be registered by the consumer on the Program site.
Participating in this Program and in the Priceless RJ and Priceless SP offers are credit, debit and/or prepaid cards under the "MasterCard", "MasterCard Eletronic", "MasterCard Maestro", "Maestro" and "RedeShop" logos, including, but not limited to, "Business Card”, "Business", "Corporate" and "Hybrid" cards (Hybrid Cards are cards that have two brands, MasterCard and a major retailer such as, for example, Carrefour, Renner, Riachuelo, and Pernambucanas, among others, issued in Brazil (participating cards / participating card). With respect to the Hybrid card, there may be restrictions on Program points in accordance with these rules of use and participation.Top of Page
The duration of this Program is indefinite. The Sponsor may cancel the Program by giving notice to the Participants at least 90 (ninety) days prior to the cancellation date. When the Program ends, no more promotional points will be generated or accrued and existing point balances will be cancelled, without any right of restitution of any sort to the participants.
The Program is a continuation of the Program that was started on April 15, 2009. These Rules of Use and Participation shall begin governing the Program rules and conditions starting on January 1, 2012, revoking all previous regulations.
The Offer sites may be removed at any time, with no indemnification owed by the Sponsor to those registered.
The participant must report his tax identification number (CPF), among other data. Each tax identification number (CPF) shall correspond to one account, not allowing for two accounts to exist with the same identification either in the Program or in the Offers.
Consumers who do not have a tax identification number (CPF) will be unable to participate in the Program and in the Offers.
Participants whose registration does not contain the taxpayer identification number (CPF) must log on to the sites to change their respective registration so as to include that information. The Sponsor reserves the right to exclude/unregister any Participants whose registration does not include their taxpayer identification number (CPF) from the Program and the offers, automatically and without notice other than that provided here.
The Sponsor assumes no liability for the authenticity of the registration data and other information provided by the Participant, who agrees to: (a) provide true, accurate, current and complete information and (b) maintain and update information promptly so as to keep it truthful, accurate, current and complete.
If the participant provides any information that is false, inaccurate, out-of-date or incomplete, or if the Sponsor has reasonable grounds for suspecting that such information is false, inaccurate, out-of-date or incomplete, the Sponsor, at their sole discretion with or without notice, may suspend them and/or exclude them from the Program, as well as suspend or close their account and refuse any and all current or future access to or use of the Offer sites and/or their content.
The participant may at any time update or remove his personal information from the sites.
Do not disclose your account information to anyone, and the Sponsor recommends that the participant does not store or save account information anywhere accessible to others, such as an unlocked drawer or a note on your computer.
The participant is solely responsible for maintaining the confidentiality and security of their account and for all activities occurring on/or going through their account and agrees to notify the Sponsor immediately if they suspect any unauthorized use of their MasterCard ID (registered email address) or password, or any other type of breach of their account.
The Sponsor shall not be liable for any losses or other damage deriving or resulting from unauthorized use of their account. In the event of a breach, please contact the Sponsor at the following email address: MasterCardID_Inquiries@mastercard.com. Upon registering on the site, the participant must enter their MasterCard ID (registered email address) and password to authenticate their account. Once the participant has authenticated their account, they will not need to do so again for 30 minutes. However, it may be necessary to authenticate the account at other times on certain pages or before continuing with certain transactions, for example, on external sites within MasterCard.
MASTERCARD SURPREENDA PROGRAM POINTS
Participants that registered on or after January 1, 2012 accrue points from the date of registration.
The points accrued by participants are valid for 2 (two) years, counting from the date on which they were earned.
Registered participant points accrued in the Surpreenda Program during the participation period of 2009, 2010 and 2011 and which were kept for the effective duration will also be validity for 2 (two) years, counting onward from July 2012.
The participant’s points balance will be computed in the Program database and shown on the Program site within no more than 30 (thirty) business days, counting from the date in which the transactions were made with the participating card or cards.
The participant may at any time monitor his promotional points balance, redeemed vouchers and other information on the Program site. The participant’s balance is the sum total of all points accrued on the cards registered. The participant may check the points accrued per card on the Program site. The participant may also check his points balance from his cell phone, using a cell number obligatorily registered with the Program, simply by sending a text message containing the word BALANCE to the number 50035. The Sponsor will not compensate the participant for any expenses incurred in sending the text message.
Services via text message may not be available depending on the cell phone carrier’s rules.
In the event of the death of the primary or additional holder of a participating card, points accrued will be cancelled.
Solely and exclusively for purposes of this Program, the following transactions will not generate points: (i) manual purchases; (ii) purchases transmitted by an off-line process; (iii) amounts deriving from cash withdrawals, contractual charges and late fees, rates, services, reversals or adjustments of amounts appearing on a cash invoice or rate; (iv) purchases subject to validation of information by the consumer, such as travel and automobile rental reservations; (v) purchases and purchase authorizations made and not authorized or processed during the period of duration; and (vi) purchases made with Hybrid Cards within retail establishments, depending on the rules of each issuer of that type of card. (To find out whether your Hybrid card generates points in the Program, with respect to purchases made within retail establishments, check with your card’s issuing bank).
Cards carrying a zero balance of points that have been registered for over 3 (three) years and/or cards not accruing points for over 6 (six) months may be excluded from the Program by the Sponsor without prior notice. The participant himself may unregister their zero-balance cards on the Program website.
In the event of card exchange or replacement, the new card must also be registered by the consumer on the Program site.
USING MASTERCARD SURPREENDA PROGRAM POINTS
Throughout the duration of the Program, the participant may exchange the points earned for benefits offered on the Program site, as they so wish and in accordance with the terms and conditions for each one of the benefits presented by each of the partners. For more information, select the partner on the list available under Terms and Conditions on the Program site.
The Sponsor shall be exempt from any obligation relating to the unavailability or quality of any product of the Program sponsors for any reason and/or limitation and for being out-of-stock.
The benefits offered through the Program site may be obtained only by using the promotional points accrued and may not be acquired directly by cash payment.
Exchanging promotional points for benefits is to be done by the Participant on the Program site or, in the case of some partners, by sending text messages or on the partner’s own site or POS.
The points will be debited in full from the participant’s balance. The Program will always use the oldest point accrued, and the amount of those points may be taken from different cards, allowing the participant to benefit from their points for the longest period possible.
In the case of point exchange by sending a text message, the participant must send a message to the number 50035 containing the name of the partner whose benefit they wish to redeem. In this case, the Sponsor will return a text message, providing the effective date of the benefit. It is understood that partners are not obligated to accept point exchange by text message, so to find out the availability of redemption service by text message, check the partner’s specific terms and conditions.
If the participant already has redeemed vouchers from this partner, this number will be sent to the requesting cell phone. Otherwise, the Program system will proceed with automatic redemption, forwarding the generated number.
WITHDRAWING FROM THE MASTERCARD SURPREENDA PROGRAM
If the participant wishes to withdraw from the Program, they must contact Customer Service, through Contact Us, available on the Program site. Starting from the date of withdrawal from the Program, the participant will forfeit accrued points, giving up the right to exchange them for benefits and participate in any Program-related events, such as drawings.
COMMUNICATION BETWEEN SPONSOR AND PARTICIPANT
All communication with Participants regarding these Rules of Use and Participation will be done via email.
Contact made by participants via text message must obligatorily be done from the cell phone number on register, or are otherwise subject to not being completed or responded to by the Sponsor.
It is the Participant’s obligation to verify whether his AntiSpam system blocked the message, since the Sponsor will not be responsible for events of this nature.
The Sponsor shall not be liable for the Participant not receiving information sent by email, given that online services can suffer fluctuations and/or problems may occur on the World Wide Web making delivery of email impossible, either due to problems with the servers involved, email server configurations by the provider or the user’s own configurations, and AntiSpam tool configurations, among others.
RIGHT OF USE OF CONTENT FROM OFFER SITES

The Sponsor grants participants a limited, non-exclusive, revocable license for them to be able to display, share or download any Content, as defined below, from the Priceless RJ and Priceless SP Sites for their own personal use.
The participant is not granted the right to license, republish, distribute, copy, assign, sublicense, transfer, sell, prepare derivative works or otherwise engage in non-personal use of any Content of the Priceless RJ and Priceless SP Sites.
No part of any of the Content may be reproduced in any manner or incorporated on any electronic or mechanical information retrieval system other than for personal use.
The participant may not log on to or use the Priceless RJ and Priceless SP Sites in any manner that may or seeks to damage them or harm them, or any underlying server or network of the Priceless RJ and Priceless SP Sites, or interfere with any other person’s use and enjoyment of the sites.
The participant is also granted a limited, revocable and non-exclusive right to create a hyperlink with the Priceless RJ and Priceless SP Sites or any Content thereof provided that this link does not portray the Sponsor, or its products or services in a false, deceitful, pejorative or otherwise offensive manner or that implies the Sponsor’s sponsorship or endorsement of their site, page or content.
The participant may not use mechanized systems (e.g. robots, spiders, etc.) to log on to the Priceless RJ and Priceless SP Sites. The participant agrees not to gather personally identifiable information on other users of the Priceless RJ and Priceless SP Sites or to otherwise exploit such information.
Except for the limited rights granted in these Rules of Use and Participation, all rights, ownership and interest in and to the Priceless RJ and Priceless SP Sites and all Content contained on them are reserved for and belong to the Sponsor.
The Sponsor retains the right to refuse access to the Priceless RJ and Priceless SP Sites to any person without notice and at its sole discretion for any reason, including for infringement of any of these Rules of Use and Participation, including any rights of use.
INTELLECTUAL PROPERTY RIGHTS
The Content of the Priceless RJ and Priceless SP Sites is protected by intellectual property laws, and all Content belongs to MasterCard or is used by MasterCard under license or by permission.
Without limitation, all text (including formatting), the selection, coordination and arrangement of the materials on the Priceless RJ and Priceless SP Sites and the images, graphics, animation, tools, devices, applications, commercials, videos, music, sound, articles, creative materials, photos, brands, service brands, trade names and logos, and other materials and information on these Sites are subject to the intellectual property rights of MasterCard, its subsidiaries and affiliates, and their respective licensors (collectively “Content”).
These materials may not be copied, reverse engineered, decompiled, disassembled, modified, replaced on other websites, placed in a frame, deep linked, altered or otherwise distributed, redistributed, licensed, sublicensed or transferred in any manner by the participant.
In operating the Priceless RJ and Priceless SP Sites, the Sponsor may act as “content provider” and offer material and links to third-party websites. As a result, the third-party material that the Sponsor does not own or control may be transmitted, stored, accessed or otherwise made available using the Priceless RJ and Priceless SP Sites.
The Sponsor has established certain procedures with regard to copyright infringement allegations on the Priceless RJ and Priceless SP sites and adopted a policy that provides for immediate removal of any content or the suspension of any user deemed to have infringed on the rights of the Sponsor or any third party, or that has otherwise infringed any intellectual property laws or regulations or these Rules of Use and Participation.
If you believe that any material available through the Priceless RJ and Priceless SP Sites infringes a copyright, you must notify the Sponsor, who will respond quickly to remove or disable access to the material claimed as infringing and who will try to resolve the claim between the notifying party and the alleged infringer who provided the Content.
You should send infringement notices to: MasterCard Brasil Soluções de Pagamento Ltda., Avenida das Nações Unidas, 14.171 – Crystal Tower, 20º andar, São Paulo – SP , Brasil.
Please provide the following notice:
1. Identify the copyrighted work or other intellectual property that you allege has been infringed.
2. Identify the material on the Site which you allege is infringing, along with sufficient detail, so that MasterCard can locate it on the Site.
3. A statement that you believe in good faith that the use in question is not authorized by the copyright holder, his agent or by law.
4. A statement by you stating that the (a) above information is accurate, and (b) that you are the holder of the copyright involved or that you are authorized to act on behalf of the lawful holder.
5. Your address, telephone number and email address.
6. Your physical or electronic signature.
FORUMS, INTERACTIVE GROUPS, AND FEEDBACK
As a user of the Priceless RJ and Priceless SP Sites, the participant may submit his comments, which may consist of textual content and potentially photos, images, audio files, other types of content and links to such content if allowed by the Site (collectively referred to as “User Submissions”).
The participant shall be solely liable for his User Submissions and for the consequences of posting or publishing them. With regards to User Submissions, the participant states, represents and/or warrants that: the User Submission is his original work and that he holds or owns the licenses, rights, consent and permissions necessary to use and authorize the Sponsor to use any and all User Submissions on any medium presently known or to be invented in the future without territorial or time limitations and without any remuneration or other form of compensation, and that he has all necessary consent to gather, use and disclose any identifiable information, images or likeness contained or shown in any and all User Submissions to allow the inclusion and use of the User Submissions in the manner intended on the Priceless RJ and Priceless SP Sites and in these Rules of Use and Participation.
The participant agrees that he will not submit any material protected by copyright, trade secrets or otherwise subject to any third-party rights, including privacy and confidentiality rights unless he is the owner of such rights or has permission from its rightful owner and the necessary consent from any individuals whose personally identifiable information is contained in such material to grant the Sponsor all the licensing rights hereby granted.
In addition, the participant warrants and represents that he will disclose the existence of any registrations or pending patent applications held by him that are in any way related to the content submitted.
The participant acknowledges and agrees that no duty of confidentiality or obligation of secrecy is established by the Sponsor in relation to the content submitted.
In making a submission, the participant understands that he is granting the Sponsor a non-exclusive, transferrable, sublicensable, irrevocable, royalty-free international license in perpetuity, which moreover grants the Sponsor the right to edit, alter and create derivative works and any concepts or ideas contained in the content submitted, including documents, art, statements, drawings, sketches, proofs, exhibitions, photographs, film, outtakes, scores, audio and video content, in print or electronic form, produced or created by the participant as part of the content submitted.
The license granted to the Sponsor includes the right for it and for those authorized by it to reproduce the content submitted by the participant, prepare other works with such content, combine such content with other works and alter, translate, distribute copies, exhibit, execute, license and make the copyright registration request for the content submitted, as transformed on behalf of the Sponsor worldwide in perpetuity on any medium that exists or comes into being.
For example, the above grant allows the Sponsor and those authorized by it to use only certain parts of the content submitted, re-record or modify any audio tracks or images that the participant provides, rewrite the content submitted, and/or incorporate other materials created by the Sponsor or licensed from other persons, with the content submitted. If the Sponsor creates other works using the content, these works shall be owned by the Sponsor and may be used in accordance with this guideline, and shall not be subject to approval by the participant.
In making a submission, the participant is waiving and agreeing not to make any copyright or “moral” rights claims resulting from alterations and/or creations of the content submitted. The participant is also agreeing to name the Sponsor as its irrevocable agent in relation to the content submitted, with the right to sign and deliver any documents on their behalf and for their account so as to certify that the Sponsor can use the content submitted that the participant is otherwise licensing which the Sponsor considers appropriate to own and protect the rights of any derivative works created on the basis of the content submitted, and to make it such that said content is removed from any other website or forum.
When requested by the Sponsor, the participant will enter into and deliver an additional licensing agreement, as may be considered reasonably necessary by the Sponsor in order to establish the Sponsor’s capacity to use the content submitted. If the Sponsor does not request the said licensing agreement as provided, it shall not be considered as a waiver of the rights of the Sponsor, who may request the agreement at any time.
From time to time, the Sponsor may ask the participant to provide feedback on the products and/or services on the Priceless RJ and Priceless SP Sites. Any communication or material that the participant sends or posts will be (a) treated as non-confidential and non-proprietary by the Sponsor, (b) will become the property of the Sponsor, which shall exclusively have all rights, titles and interest in and to them now and in the future, and (c) used without restriction by the licensees and affiliates of the Sponsor at its sole discretion and with no obligation, compensation or other responsibility to the participant.
Such use may be for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, dissemination and posting in whole or in part, on any medium and in any form, now known or developed in the future, on the Priceless RJ and Priceless SP Sites or otherwise. The Sponsor shall be under no obligation to respond to such communication.
MERCHANTS AND MERCHANT OFFERS
Merchants may offer the Sponsor certain discounts, rebates or other benefits (e.g. free shipping) on the purchase of goods and services (“Benefits”) which will be available on the Priceless RJ and Priceless SP Offers Sites.
Such Benefits are subject to certain terms and conditions and may change at any time without notice. The Sponsor shall not be liable for any loss or damage incurred due to any interaction between the participant and a merchant in relation to such Offers.
Except as provided for herein, any materials, including, but not limited to, the delivery of goods and services, returns and warranties are solely and strictly between the participant and the applicable merchants. The participant acknowledges that the Sponsor does not endorse or warrant the merchants accessible through the Priceless RJ and Priceless SP Sites or the Offers that they offer.
The Sponsor may inform participants in the Program and in the Offers of drawings or other related promotions.
All of the said drawings are subject to the Official Rules for promotions and to all applicable laws, regulations and statutes.
THIRD-PARTY CONTENT AND LINKS TO OTHER SITES
The Program and the Offers may contain third-party content and links to other sites which are completely independent. The third-party content and links are included merely for the users’ convenience and do not constitute any approval, endorsement or warranty by the Sponsor.
In addition, the Sponsor shall not be liable for the accuracy, completeness or reliability of third-party information or for the products or services offered or sold on any sites, and the participant assumes sole responsibility for the use of third-party information.
The Sponsor acknowledges the importance of respecting the privacy of those who visit and choose to take advantage of the Program and information offered in the Offers.
The participant agrees to indemnify, defend and hold the Sponsor and its business partners, employees and affiliates harmless against any liability, loss, claim and expense, including reasonable attorneys’ fees and costs, related to his breach of these Rules of Use and Participation or improper use made of the Program or Offers.
The participant shall indemnify and hold the Sponsor free of liability for and against any claim, action or proceeding brought against the Sponsor originating with or related to infringements of copyright or other intellectual property or other third-party rights contained in his User Submissions and/or any other violation of the law or of contractual obligations related to the content submitted.
The Sponsor reserves the right to alter or modify the Content, materials or information disclosed or in relation to the Program and Offers Sites, including these Rules of Use and Participation, at any time without notice to the participants. The Sponsor may revise these Rules of Use and Participation at any time. The participant shall be bound by such revisions and must therefore visit these Rules of Use and Participation periodically.
The participant may not (a) obtain or try to obtain unauthorized access to services or systems of the Sponsor; (b) use or try to use the services or systems of the Sponsor in any manner that is not expressly authorized by the Sponsor; (c) disrupt, damage or prevent the operations of the services or systems of the Sponsor; (d) register or try to register on the site by fraudulent or unlawful means; (e) circumvent or try to circumvent the Sponsor’s security mechanisms, or (f) create registration accounts by automatic means.
The Sponsor may assign its rights and obligations as provided for in these Rules of Use and Participation at any time.
If any part or provision of these Rules of Use and Participation is considered unlawful, ineffective, invalid or unenforceable, said part may be severed and shall not affect the validity and enforceability of the remaining provisions.
Certain provisions of these Rules of Use and Participation may be substituted or supplemented by legal notices or terms located on particular pages, applications, tools or other materials that the participant may access within the sites.
The Sponsor will never ask and will never send email asking the Participant for their card security code and/or their passwords.
At the Sponsor’s discretion, alternate forms of registration may be made available to participants by telephone, electronic terminals (ATMs) and bank tellers, among others, which come to be designed and implemented by the Sponsor.

The courts of the participant’s district are hereby elected for the settlement of any dispute related to these Rules of Use and Participation, the Program, and the Priceless Rio and Priceless Sao Paulo Sites.
